1. Acceptance of Terms

By accessing or using the Waku platform, mobile applications, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms form a binding agreement between you and Moyu Corporation, the owner and operator of Waku.

2. Eligibility

You must be at least 13 years old to use the Services. By using the Services, you represent and warrant that:

  • You are at least 13 years of age; and
  • If you are between 13 and 18 years old, you are using the Services under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.

If you are using the Services on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

3. User Accounts

To access certain features of the Services, you may be required to create a user account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information up to date.

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials (e.g., username and password)
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use or suspected breach of security

We reserve the right to suspend or terminate your account if we believe any information you provide is inaccurate, misleading, or violates these Terms.

You may not:

  • Create an account using false identity or information
  • Register more than one account without permission
  • Share or transfer your account to another person

4. User Conduct

By using the Services, you agree that you will not engage in any activity that:

  • Violates any applicable law, regulation, or third-party right
  • Infringes on the intellectual property or privacy rights of others
  • Harasses, threatens, defames, abuses, or otherwise harms other users
  • Posts, shares, or distributes any content that is false, misleading, obscene, pornographic, hateful, discriminatory, violent, or illegal
  • Uses the Services for any commercial purpose without express authorization
  • Circumvents or interferes with security, moderation, or access controls
  • Uses bots, scrapers, or other automated means to access or collect data
  • Impersonates any person or entity or misrepresents your affiliation
  • Promotes spam, scams, pyramid schemes, or other fraudulent conduct
  • Attempts to interfere with or disrupt the platform, servers, or networks

We reserve the right to investigate and take appropriate action against any user who violates these rules, including account suspension, termination, or legal reporting.

We also encourage all users to:

  • Treat others with respect and kindness
  • Report abusive or inappropriate behavior
  • Engage constructively in events and discussions

5. Event Hosting and Participation

Waku allows users to create, host, and participate in various online or offline events. By using these features, you agree to the following:

a. Event Hosts Responsibilities

If you create or host an event, you agree to:

  • Provide accurate and truthful event information (title, time, location, rules, etc.)
  • Comply with all local laws and venue regulations
  • Take reasonable steps to ensure the safety of participants
  • Not post events that promote illegal activity, violence, hate, or discrimination
  • Accept responsibility for disputes or incidents that arise from your event

We reserve the right to remove or suspend any event that violates our Terms or community standards.

b. Event Participants Responsibilities

If you sign up for or attend an event, you agree to:

  • Behave respectfully and follow the host's rules
  • Not disrupt or endanger the event or other participants
  • Follow any safety protocols or legal requirements
  • Accept that event content and outcomes are the responsibility of the host

Participation in any event is at your own risk. Waku does not supervise events nor guarantee their safety or quality.

6. Fees and Payments

Some features of the Services may require payment, such as paid event registration, premium tools, or platform commissions. By making a payment through Waku, you agree to:

  • Pay all applicable fees as listed at the time of purchase or checkout
  • Provide accurate and authorized payment information
  • Allow us or our third-party payment processors to charge your selected payment method

All fees are displayed in the currency specified by the platform. Taxes and transaction charges may apply depending on your location and payment method.

a. Refund Policy

  • Fees for digital services and subscriptions are generally non-refundable unless otherwise stated
  • For event-related purchases, refund eligibility and terms are defined by the event organizer
  • Waku is not responsible for refunding payments unless the event was canceled due to technical platform errors

b. Platform Commission and Payouts

  • Waku may charge a service fee or commission from event organizers for paid events
  • Payouts to organizers are processed through third-party services and may be subject to delays, minimum thresholds, or identity verification
  • Organizers are responsible for reporting and paying any taxes associated with income from events

7. Content Ownership and License

You retain ownership of all content you create, upload, post, or share on the Waku platform, including but not limited to text, images, audio, video, and event details ("User Content").

By submitting User Content, you grant Waku a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, display, perform, distribute, adapt, and promote your content in connection with the Services, including for marketing and operational purposes.

You represent and warrant that:

  • You own or have the necessary rights to the content you submit
  • Your content does not violate any law or third-party rights

We may remove or restrict access to any User Content that violates these Terms or poses legal or reputational risks to Waku.

Waku does not claim ownership over your content. However, we reserve the right to use publicly visible content to promote the platform.

8. Prohibited Activities

To maintain a safe and respectful environment, you agree not to engage in any of the following prohibited activities on or in connection with the Services:

  • Using the platform for any unlawful purpose or to promote illegal activities
  • Uploading, distributing, or promoting content involving:
    • Violence or threats
    • Hate speech or discrimination based on race, gender, religion, nationality, disability, or sexual orientation
    • Pornographic, sexually explicit, or obscene material
    • Fraud, scams, or misleading claims
    • Piracy or intellectual property infringement
  • Gaining unauthorized access to Waku's systems or interfering with the integrity or performance of the Services
  • Harvesting or collecting personal data of other users without consent
  • Engaging in doxxing, stalking, harassment, or coordinated attacks
  • Organizing or facilitating real-world harm, riots, or exploitation
  • Reselling access, impersonating others, or creating fake accounts
  • Violating any third-party platform's terms of service when cross-posting

Violation of these rules may result in account suspension, removal of content, legal reporting, and permanent bans.

9. Termination

We reserve the right to suspend or terminate your access to the Services, with or without notice, if we reasonably believe that you have violated these Terms, applicable laws, or pose a risk to the platform or other users.

You may also choose to deactivate or delete your account at any time by following the instructions in the app or contacting support.

Upon termination:

  • Your right to access and use the Services will immediately cease
  • We may retain your data as required by law or for legitimate business purposes
  • Some content you submitted (e.g. public posts or comments) may remain visible unless deleted manually before termination

Termination of your account does not relieve you of any obligations or liabilities incurred prior to the date of termination.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Waku and Moyu Corporation disclaim all warranties, express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Guarantees that the Services will be uninterrupted, timely, secure, or error-free
  • Assurances that events, content, or third-party interactions on the platform will meet your expectations

We do not control or guarantee the quality, safety, legality, or accuracy of events, content, or user conduct on the platform. Participation in any activity, online or offline, is at your own risk.

Waku is not responsible for any loss or damage arising from:

  • User-generated content
  • Event cancellations, disputes, or incidents
  • Delays, system errors, or service outages

Some jurisdictions do not allow the exclusion of certain warranties, so the above may not apply to you in full.

11. Limitation of Liability

To the maximum extent permitted by law, Waku and its affiliates, directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, or goodwill
  • Personal injury or property damage
  • Costs of substitute services
  • Service interruptions, delays, or data loss
  • Disputes or damages arising from events organized or attended via the platform

In no event shall our total liability for any claims relating to the Services exceed the amount you paid (if any) to Waku in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow the limitation of liability for certain types of damages. In such cases, our liability shall be limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Waku, Moyu Corporation, and their affiliates, officers, directors, employees, contractors, partners, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal and accounting fees) arising out of or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms or any applicable laws or regulations
  • Your User Content, including claims of intellectual property infringement, defamation, or privacy violations
  • Any interaction, dispute, or incident involving other users or third parties through the platform
  • Your hosting or participation in events using Waku

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense efforts.

13. Governing Law and Jurisdiction

These Terms and any dispute related to your use of the Services shall be governed by and construed in accordance with the laws of the District of Columbia, United States, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Washington, D.C., and you consent to the personal jurisdiction of such courts.

If you access the Services from outside the United States, you are responsible for compliance with all local laws and regulations.

14. Changes to Terms

We may revise these Terms of Service from time to time. When we do, we will update the "Effective Date" at the top of this page and may notify you through email, in-app message, or a prominent notice on our platform.

By continuing to access or use the Services after the revised Terms have been posted, you agree to be bound by the updated Terms. If you do not agree to the changes, you must stop using the Services.

We encourage you to review these Terms periodically to stay informed of your rights and responsibilities.
